Terms of Service

These Terms govern your use of Vetra — the health-insurance marketplace at vetrainsure.com, our mobile applications, and the administration platform we license to HMOs, providers, and employers.

We've tried to write these in plain English. If anything here is unclear, or you're negotiating a Master Services Agreement for your organisation, email legal@vetrainsure.com.

1. Acceptance

By creating an account or using vetrainsure.com, our mobile apps, or any related service (the “Services”), you agree to these Terms. If you don't agree, don't use the Services.

These Terms are between you and Vetra Insure Limited, a Nigerian company. In these Terms, “Vetra”, “we”, and “our” refer to Vetra Insure Limited.

2. What Vetra provides

Vetra runs two related products:

  • A public marketplace at vetrainsure.com where individuals and organisations can find, compare, and request quotes from licensed Nigerian Health Maintenance Organisations (HMOs) and healthcare providers.
  • An administration platform that HMOs, providers, employers, and platform operators subscribe to for claims, capitation, provider management, and analytics.

Vetra is not an insurer. We do not underwrite health cover, adjudicate claims on behalf of insurers, or make coverage decisions. Those responsibilities belong to the HMO you engage. Vetra's role is to make it easier to find the right HMO and to help HMOs run their operations more effectively.

3. Eligibility

You must be at least 18 years old and legally able to enter into a contract under Nigerian law to create a Vetra account. The Services are aimed at Nigeria residents; you are responsible for complying with the law where you access them.

4. Your account

You're responsible for the accuracy of the information on your account, keeping your password secure, and every action taken from it. Notify us at security@vetrainsure.com if you suspect unauthorised access.

One account per person. Sharing credentials, creating accounts on someone else's behalf without authorisation, or automated / scripted account creation is not allowed.

5. Consumer use

The consumer side of Vetra — profile browsing, saving HMOs, comparing plans, quote requests, the “My health hub” area — is free to use for individuals seeking cover.

When you submit a quote request through Vetra, we forward it to the HMO you selected. The HMO receives your name, contact details, cover preferences, and any message you wrote. From that point, the HMO handles the enquiry directly and independently of Vetra.

If you engage with an HMO's digital card (“My health cover”), the card is issued by that HMO. Vetra displays it inside our app but is not a party to the underlying insurance contract between you and the HMO.

6. HMO, provider, employer and platform use

If your organisation subscribes to Vetra's administration platform, a separate Master Services Agreement (MSA) between your organisation and Vetra governs the commercial terms, service levels, data protection annex, and support. These Terms sit under the MSA — where the MSA and these Terms conflict, the MSA wins for your organisation's users.

The MSA covers pricing (typically monthly subscription + per-claim fee), payment terms, plan upgrades and downgrades, suspension for non-payment, and termination. Contact hmo@vetrainsure.com for a copy.

7. What you may not do

You agree not to:

  • Use the Services for anything unlawful under Nigerian law.
  • Impersonate another person, misrepresent your affiliation with an organisation, or submit false information on any form.
  • Scrape, mirror, or systematically extract data from the Services without written permission. Public marketplace data is available on request via hello@vetrainsure.com.
  • Interfere with the Services — including via denial-of-service, injection attacks, or exploiting bugs. Responsible disclosure is welcome at security@vetrainsure.com.
  • Use the Services to send spam, phishing, or content that is defamatory, obscene, or infringes anyone's rights.
  • Circumvent access controls, RBAC boundaries, or tenant isolation.

8. Third-party HMOs and providers

HMOs and providers listed on Vetra are independent organisations. Vetra verifies NHIA accreditation and surfaces performance metrics, but we do not guarantee the accuracy of every fact on every profile, and we are not responsible for:

  • Coverage decisions made by an HMO (approvals, rejections, exclusions).
  • Quality of care provided by any hospital, clinic, or pharmacy.
  • An HMO's response time to a quote request or a claim.
  • Any contract you enter into directly with an HMO or provider.

Disputes with an HMO should first be raised with that HMO. If unresolved, the NHIA (nhia.gov.ng) has jurisdiction over accredited HMOs.

9. Intellectual property

The Services, including the Vetra name, logo, source code, designs, and documentation, are Vetra's intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use them for their intended purpose. No rights beyond that are granted.

HMO and provider logos, plan names, and marketing content on their profiles remain the property of those organisations. Vetra displays them with permission or under fair use for public-benefit information about accredited HMOs.

10. Privacy and data

Our processing of your personal data is governed by the Privacy Policy, which forms part of these Terms. Please read it — you consent to it by using the Services.

11. Availability and changes

We aim for high availability but do not guarantee uninterrupted access. We may add, change, or remove features at any time. For business customers under an MSA, service levels and change management are governed by that MSA rather than this section.

12. Warranty disclaimer

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by Nigerian law. Vetra specifically disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This does not exclude any warranty that cannot be lawfully excluded.

13. Limitation of liability

To the maximum extent permitted by Nigerian law, Vetra's total liability to you for any claim arising out of or in connection with the Services is limited to the greater of (a) the fees you paid Vetra in the 12 months preceding the claim (which for consumer users is typically zero) or (b) NGN 100,000.

Vetra is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Nothing in these Terms limits liability for fraud, wilful misconduct, or anything that cannot be limited by law.

14. Indemnity

You agree to indemnify Vetra against reasonable losses, damages, and costs arising from your breach of these Terms, your violation of any law, or your infringement of a third party's rights through your use of the Services.

15. Termination

You can delete your account at any time from the “My health hub” profile page (web) or Settings screen (mobile). Deletion is immediate and cascades to every table that references your account. Financial records may be retained where required by tax law.

We may suspend or terminate your access if you breach these Terms, if we're required to by law, or if we discontinue the Services. We'll give you as much notice as reasonably possible before discontinuation.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of Lagos State.

Before a court is involved, we ask that you first raise the concern with us at legal@vetrainsure.com — we'll try to resolve it within 30 days.

17. Changes to these Terms

We may update these Terms. Material changes will be announced via email and via a banner on the site at least 14 days before they take effect. Continuing to use the Services after the changes take effect constitutes acceptance.
